Terms of Service

1. Services Provided

Ariago Web Dev provides web design, web development, hosting, SEO, analytics reporting, digital advertising services, marketing, and performance reviews as outlined in the plan you select. Specific deliverables are defined in your service agreement or onboarding documentation.

2. Payment Terms

• A 50% deposit is required before work begins on any new website build. This deposit is paid after we have already met, discussed your business needs, and developed a plan for the website.
• The remaining 50% is due upon completion and before the site goes live.
• Monthly retainer fees are billed in advance at the start of each billing cycle.
• Late payments may result in suspension of services until the outstanding balance is resolved.
• Website build fees start at $1,000 depending on scope, in addition to the monthly retainer.

3. Client Responsibilities

To deliver your project effectively, you agree to:

• Provide accurate business information, content, images, and any materials required for your website in a timely manner.
• Grant Ariago Web Dev access to necessary accounts including Google Analytics, Google Business, domain registrar, and any other platforms required to deliver your service.
• Ensure all content provided to us does not infringe on any third-party intellectual property rights.
• Review and provide feedback on deliverables within 5 business days.

4. Intellectual Property

• Ariago Web Dev retains ownership of all website designs, code, templates, and creative assets produced during the engagement.
• Upon cancellation or termination of services, Ariago Web Dev reserves the right to repurpose, modify, or reuse any design elements, code, or creative work produced.
• Clients are granted a license to use their website while an active service plan is in place. This license is non-transferable and does not constitute ownership of the underlying design or code.
• Ariago Web Dev retains the right to display your completed website in our portfolio and marketing materials unless you request otherwise in writing.
• Any third-party assets, fonts, plugins, or tools used in your project are subject to their own respective licenses.

5. Hosting and Domain

• Ariago Web Dev maintains ownership and control of all hosting accounts used to host client websites.
• Upon cancellation of services, Ariago Web Dev is not obligated to transfer hosting accounts or website files to the client.
• Domain names are managed by Ariago Web Dev on behalf of the client for the duration of the service relationship.
• We are not responsible for domain registrar outages or third-party hosting issues beyond our control.

6. Cancellation Policy

• You may cancel your monthly retainer at any time with 30 days written notice.
• No refunds are provided for the current billing month upon cancellation.
• Deposits for website builds are non-refundable if work has commenced.
• Upon cancellation, your Google Business Profile and domain will be returned to you if you owned and managed them prior to engaging with Ariago Web Dev.

7. Limitation of Liability

Ariago Web Dev is not liable for any indirect, incidental, or consequential damages arising from our services, including but not limited to lost revenue, lost data, or business interruption. Our total liability to you for any claim shall not exceed the total fees paid by you in the three months preceding the claim.

8. No Guarantee of Results

While we work hard to deliver measurable results, Ariago Web Dev cannot guarantee a website build will match exactly how you envisioned it. However, we are committed to working closely with you throughout the process to build the best possible website for your business. Additionally, Ariago Web Dev does not guarantee specific outcomes such as search engine rankings, advertising performance, or revenue growth. Digital marketing results depend on many factors outside our control including market conditions, competition, and algorithm changes.

9. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive business information shared during the course of our engagement. This obligation survives the termination of our service relationship.

10. Governing Law

These Terms of Service are governed by the laws of the State of Illinois, United States. Any disputes arising from these terms shall be resolved in the courts of Illinois.

11. Changes to These Terms

We reserve the right to update these Terms of Service at any time. Continued use of our services after changes are posted constitutes your acceptance of the updated terms. We will make reasonable efforts to notify active clients of material changes.
